Terms of Service

1. Service and contract

ProofFlow is a work-review and approval-history service provided by Office Hasegawa. The person registering represents that they may bind the organization. The customer organization manages users, reviewers, and the scope and recipients of review links.

2. Use and customer content

• Features and limits for Free, Standard, and Pro are those shown in the service. Paid plans are available only when the required payment setup is ready and signup is enabled in the service.
• You must have authority to upload and share materials and should include personal or confidential information only when necessary. File uploads are accepted only while the safety scanner is available. Files remain private until they pass the scan, and uploads are paused if the scanner is unavailable.
• Anyone with a review link may access the materials within that link’s scope. The customer organization is responsible for recipients, expiry, and revocation.
• Do not upload unlawful, infringing, malicious, or unauthorized material.

3. Price, payment, and cancellation

Plans are Free (no charge), Standard (USD 49 per month), and Pro (USD 119 per month). Paid plan prices are exclusive of applicable taxes. Stripe Automatic Tax, billing-address collection, and tax-ID collection are enabled in Stripe Checkout. Stripe Tax calculates and collects applicable tax in jurisdictions where we have an active registration. Any tax added to the tax-exclusive price is shown in Checkout. Enabling automatic calculation does not mean that sales or tax registration is available in every country. We offer the service subject to applicable country-specific legal and tax requirements. Stripe processes payment. You may change plans or schedule cancellation at renewal from the billing page. Cancellation generally takes effect at the end of the current billing period. Mid-period refunds are not available except where required by law.

4. Review records and service limits

You retain rights in uploaded material. Processing is described in our Privacy Policy and Data Processing Addendum. Approval, comment, and version records support business workflows, but ProofFlow is not an electronic-signature or contract-execution service and does not guarantee audit certification, legal advice, admissibility, or completeness. When the scanner is available, uploaded files are scanned for malware using ClamAV in a private Cloudflare Container and remain unavailable for sharing until they pass. Scanning aims to detect known threats and does not guarantee that a file is safe. You should also apply appropriate security checks in your own environment before opening important files.

5. Suspension, liability, and termination

We may restrict access where needed to address security, legal requirements, or a material breach. Maintenance or third-party outages may affect availability. Export materials you need to retain. An organization deletion request can be canceled for at least 30 days and may be scheduled after the paid period ends. When deletion runs, active organization data and files are removed; D1 recovery history may retain them for up to 30 days. Account deletion revokes sign-in and may leave an anonymized record for audit attribution. See the Privacy Policy and Data Processing Addendum for details. To the extent permitted by law, we are not liable for indirect loss or loss of profits. This does not limit liability for wilful misconduct or gross negligence, liability that cannot be excluded, or mandatory protections.

6. Governing law and contact

Japanese law governs these terms, and the Tokyo District Court has jurisdiction as the court of first instance, subject to mandatory protections and jurisdictional rights where you are located.
